Terms of Service

1. Introduction
Welcome to TradeLeague, a decentralized trading competition protocol built on the Solana blockchain (“TradeLeague,” “we,” “our,” or “us”).
By accessing or using TradeLeague (the “Platform”), including participating in any competitions, connecting a wallet, or otherwise interacting with our smart contracts, you agree to these Terms of Use (the “Terms”).
If you do not agree to these Terms, do not use TradeLeague.
2. Nature of the Platform
TradeLeague is an onchain, skill-based trading competition protocol that allows users to:
Join competitions by paying an entry fee,
Compete against others based on profit and loss (%) performance, and
Earn rewards from the resulting prize pool.
All activity occurs onchain using Solana wallets and SPL tokens. TradeLeague does not hold custody of user funds, perform KYC, or process fiat payments.
Each competition is powered by smart contracts. Entry fees, prize pool creation, and distribution are executed automatically onchain according to published rules.
3. Eligibility
You may use TradeLeague only if:
You are at least 18 years old,
You have the legal capacity to enter into binding agreements, and
You are not located in, under the control of, or a resident of any jurisdiction where participation in onchain competitions is restricted or prohibited, including (but not limited to) the United States embargoed or OFAC-sanctioned countries.
By using the Platform, you represent and warrant that you meet these requirements.
4. Beta Disclaimer
TradeLeague is currently in Open Beta and is provided “as is” for testing and experimentation.
Features, competitions, smart contracts, and the user interface are subject to change, upgrade, or discontinuation without notice.
By participating, you acknowledge that TradeLeague is in active development and may contain bugs, vulnerabilities, or downtime.
Use at your own risk.
5. Skill-Based Competitions
TradeLeague competitions are intended to be skill-based, not chance-based.
Results depend on participants’ trading strategies, timing, and execution.
We do not operate or promote gambling or chance-based games.
6. Onchain Activity & Wallets
You are solely responsible for managing your wallet, private keys, and transactions.
TradeLeague has no access to or control over user wallets or private keys.
All actions you take onchain are permanent and irreversible.
Ensure you interact only with official smart contracts and URLs.
7. Fees and Rewards
Each competition has a defined entry fee, prize pool, and duration.
A 5% protocol fee is deducted from the prize pool at the end of each competition.
Rewards are distributed automatically according to competition rules.
If a competition fails to meet the minimum required participants, entry fees are refunded minus transaction costs.
8. Universal Disclaimer of Liability
You acknowledge and agree that:
All use of TradeLeague is at your sole risk.
Participation involves real digital assets that may fluctuate in value.
TradeLeague, its team, and contributors make no guarantees about uptime, performance, accuracy, or results.
TradeLeague does not provide financial advice, investment recommendations, or brokerage services.
You assume full responsibility for your actions and results onchain.
9. Limitation of Liability
To the maximum extent permitted by law, TradeLeague, its contributors, developers, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform or participation in competitions.
10. Indemnification
You agree to indemnify and hold harmless TradeLeague, its team, and partners from any claims, losses, liabilities, or expenses arising from:
Your use of the Platform,
Your violation of these Terms, or
Your breach of any applicable law or third-party right.
11. Arbitration & Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws.
Any dispute shall be resolved through binding arbitration in Delaware, under the American Arbitration Association (AAA) rules.
You waive your right to participate in class actions or jury trials.
12. Global Access & Restrictions
TradeLeague is accessible globally, but you are responsible for ensuring your use complies with local laws.
We may restrict access from jurisdictions where use of onchain competitions is illegal or restricted.
13. Open Beta Participation & Feedback
By using the Beta, you agree that any feedback, ideas, or suggestions you share may be used freely by TradeLeague without obligation or compensation.
14. Modifications
We may update these Terms at any time. The revised version will be effective immediately upon posting. Your continued use of the Platform constitutes acceptance.
